These Terms of Use ("Terms") govern your access to and use of the "VoixPrism" mobile application (the "App") and any related services (collectively, the "Service") provided by VoixWare, LLC ("VoixWare", "we", "us", or "our").

These Terms also constitute the End User License Agreement (EULA) governing your use of the App.

By downloading, installing, or using the App, you agree to the processing of information in accordance with this policy. If you do not agree to these Terms, do not use the Service.

1. Description of Service

VoixPrism is an assistive communication application designed to provide real-time speech-to-text captions and translation services. The App utilizes advanced cloud-based AI to transcribe spoken audio and display it on your device.

2. Disclaimer regarding Accuracy and Medical Use

While VoixPrism aims for high accuracy, automated speech recognition and translation are not perfect. The App is an assistive tool and is not a substitute for professional hearing aids, cochlear implants, or the advice of a qualified medical professional (audiologist or otolaryngologist). It should be used to complement, not replace, prescribed medical devices.

Automated speech recognition and translation are not 100% accurate. You should not rely on the App as the sole means of communication in critical situations where inaccuracy could result in harm, including but not limited to medical emergencies, interactions with law enforcement, legal proceedings, or high-stakes business negotiations

3. User Responsibilities

You are solely responsible for your use of the Service. You agree to:

• Use the Service in compliance with all applicable local, state, national, and international laws, including privacy laws regarding the recording of conversations. In many jurisdictions, you must obtain consent from all parties before recording or transcribing their speech.
• Not use the Service for any unlawful, harassing, libelous, abusive, threatening, harmful, or otherwise objectionable purpose.
• Ensure you have a stable internet connection, as the Service requires cloud connectivity to function.

4. Subscriptions and Payments

VoixWare offers the Service through various purchase options, including monthly subscriptions and one-time top-up packs.

• Pricing and Minutes: The Service operates on a metered basis using "minutes" of processing time. Note: Translation services consume minutes at a higher rate (2x) than standard transcription due to increased processing costs.
• Billing: All payments are processed through Apple's App Store and are governed by Apple's terms and conditions. Payment will be charged to your Apple ID account at confirmation of purchase.
• Automatic Renewal: Subscription plans automatically renew unless canceled at least 24 hours before the end of the current period.
• Cancellation: You can manage and cancel your subscriptions in your App Store account settings.
• Refunds: All purchases are final. Refund requests must be directed to Apple and are subject to their policies.

5. Intellectual Property

All rights, title, and interest in and to the Service, including the App's design, software, logo, and other related materials, are and will remain the exclusive property of VoixWare, LLC and its licensors.

6. Termination

We reserve the right to suspend or terminate your access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. VOIXWARE, LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOIXWARE, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

9. Governing Law

These Terms shall be governed by the laws of the State of Wyoming, United States.
